Terms of Service

1. Agreement

These Terms govern your use of the PandaBee website and platform provided by [PandaBee legal entity name] ("PandaBee"). By subscribing or using the service you agree to them.

2. The service

PandaBee provides a team inbox, AI agents and messaging automation for WhatsApp, Messenger and Instagram. Features depend on your plan and on third-party platforms (including Meta) that we do not control.

3. Accounts and users

You are responsible for your account, your team members and all activity under them. Each plan includes a number of users as stated on the Pricing page; extra users are charged separately.

4. Fees, billing and renewals

Subscriptions are billed in USD in advance, monthly, every six months or yearly, as selected. Plans renew automatically for the same term unless cancelled before renewal. The onboarding package is a one-off fee. Fees exclude taxes and exclude WhatsApp conversation charges billed by Meta.

5. Refunds and cancellation

6. Acceptable use and messaging compliance

You must only message people who have given appropriate consent, and comply with the WhatsApp Business and Commerce Policies, Meta platform terms, and applicable law. We may suspend accounts that put our platform or Meta access at risk.

7. AI features

AI-generated content may be inaccurate. You are responsible for reviewing AI configuration and for how you use AI outputs with your customers.

8. Your data

You own your Customer Data. You grant us the rights needed to process it to provide the service, as described in our Privacy Policy.

9. Availability and support

We aim for reliable service and provide human support during published support hours, but the service is provided "as is" without guarantee of uninterrupted availability.

10. Liability

To the maximum extent permitted by law, PandaBee is not liable for indirect or consequential losses, and our total liability is limited to the fees you paid in the 12 months before the claim. [Have counsel confirm.]

11. Governing law

These Terms are governed by the laws of Hong Kong SAR, and the courts of that jurisdiction have exclusive jurisdiction.
